These Terms of Service (“Terms”) govern your access to and use of the services provided by Thea Systems Ltd (“Thea Systems,” “we,” “us,” or “our”), including our website, software, digital products, consultancy services, and subscription-based services (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.
1. Eligibility
You must be at least 18 years old to use the Services. By using the Services, you confirm that you have the legal capacity to enter into a binding contract under the laws of England and Wales.

To access certain Services, you must create an account.
You agree to:

- Keep your login credentials confidential
- Be responsible for all activity carried out through your account
You must notify us immediately if you believe your account has been compromised.
3. Services
Thea Systems provides the following Services:
3.1 Software and Digital Services
- Software-as-a-Service (SaaS)
- Digital goods and digital content delivered electronically
- Subscription-based access to features or platforms
3.2 Consultancy Services
We may also provide consultancy, advisory, implementation, or professional services, which may include (but are not limited to):
- Technical consulting
- Strategic or systems advice
- Implementation or configuration support
- Training or guidance sessions
Consultancy Services may be delivered remotely or otherwise, as agreed.
Unless expressly stated otherwise in writing, Consultancy Services are provided on a time-and-materials or fixed-scope basis.
4. Consultancy Scope and Deliverables
4.1 Scope
The scope, fees, timelines, and deliverables for Consultancy Services will be agreed:
- In writing
- Via a proposal, statement of work (SOW), order form, or email confirmation
If there is any conflict between these Terms and a specific consultancy agreement or SOW, the consultancy agreement or SOW shall prevail.
4.2 No Guarantee of Outcomes
Consultancy Services are provided using reasonable care and skill in accordance with UK law.
We do not guarantee:
- Specific business, financial, or operational outcomes
- That advice will achieve a particular result
- That recommendations will be error-free or suitable for every use case
You remain responsible for decisions made based on our consultancy.
5. Subscriptions, Fees, and Payments
5.1 Subscription Plans
Certain Services require payment of a subscription fee. Details of pricing, billing frequency, and features are displayed on our website or at checkout.
5.2 Consultancy Fees
Consultancy Services may be billed:
- In advance
- On a recurring basis
- Upon completion of milestones
- Or as otherwise agreed in writing
Invoices must be paid within the timeframe stated on the invoice unless otherwise agreed.
5.3 Automatic Renewal
Subscriptions automatically renew unless cancelled before the end of the billing period.
By purchasing a subscription, you authorise us to take recurring payments.
5.4 Payments via GoCardless
Payments are processed by GoCardless, a third-party payment provider.
When you create an account or make a payment, your personal and payment information is shared securely with GoCardless. We do not store full payment card details.
GoCardless’s processing of your data is governed by its own terms and privacy policies.
5.5 Taxes
All prices are shown in GBP (£) and include VAT where applicable, unless stated otherwise.
6. Cancellations, Refunds, and Consumer Rights
6.1 Subscription Cancellation
You may cancel subscriptions at any time via your account dashboard. Cancellation takes effect at the end of the current billing period.
6.2 Consultancy Services
Consultancy fees are non-refundable once Services have commenced, except where required by law or expressly agreed in writing.
If Consultancy Services are cancelled with notice:
- Fees for work already performed remain payable
- Any prepaid but unused time may be refunded at our discretion
6.3 Digital Content and SaaS
Under the Consumer Rights Act 2015, digital content must be:
- Of satisfactory quality
- Fit for purpose
- As described
If faulty, you may be entitled to a repair, replacement, or refund as required by law.
6.4 Cooling-Off Period
Where applicable, you may have a 14-day cooling-off period for online purchases.
By accessing digital content or consultancy during this period, you acknowledge that your right to cancel may be lost once performance begins, as permitted by law.
7. Acceptable Use
You must not:
- Use the Services unlawfully
- Reverse engineer, decompile, or attempt to extract source code
- Circumvent access controls or subscription limits
- Interfere with the operation or security of the Services
We may suspend or terminate access for violations.
8. Intellectual Property (IP)
8.1 Our IP
All intellectual property rights in the Services, including software, documentation, methodologies, and materials, belong to or are licensed to Thea Systems.
8.2 Consultancy Materials
Unless otherwise agreed in writing:
- We retain ownership of pre-existing materials, frameworks, and know-how
- You are granted a non-exclusive licence to use consultancy deliverables for your internal business purposes only
9. User Content (If Applicable)
If you submit content to the Services:
- You retain ownership
- You grant us a non-exclusive, worldwide, royalty-free licence to use it solely to provide and improve the Services
You confirm you have all necessary rights to submit such content.
10. Third-Party Services
The Services may rely on third-party providers, including GoCardless.
We are not responsible for third-party services, their availability, or their terms. Your use of third-party services is governed by their own agreements.
11. Availability and Changes
We aim to provide reliable Services but do not guarantee uninterrupted availability. We may modify or discontinue Services at any time.
12. Disclaimer of Warranties
Nothing in these Terms affects your statutory consumer rights.
Subject to that, the Services are provided “as is” and “as available”, without warranties except where required by law.
13. Limitation of Liability
Nothing in these Terms limits or excludes liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded under UK law
Subject to the above, our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
14. Indemnity
You agree to indemnify Thea Systems against claims arising from your breach of these Terms or misuse of the Services.
15. Termination
We may suspend or terminate your account if you breach these Terms or if required by law.
Upon termination, your right to use the Services ends immediately.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated where appropriate.
Continued use of the Services means you accept the updated Terms.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
